Position Overview

Business Description

This is a great opportunity to join Deutsche Bank’s Corporate Bank Legal Department (CB) team. You will be part of a welcoming and vibrant team supporting Trust and Agency Services, Cash Management, Trade Finance, Securities Services and Global Network Management with a focus on custody and client assets. The team advises on a mixture of transactional and advisory matters working very closely with the business, other members of Legal and internal support functions. The role would involve helping provide in-house legal support primarily to DB’s Securities Services and Global Network Management teams, looking at both sides of our custody relationships and a range of financial regulatory issues from client assets to resolution, crypto custody and more.  It may also cover advising on the full range of custody (digital and traditional assets), clearing and settlement services provided by DB’s custody network which currently covers more than 70 securities markets across Europe, the UK, the Middle East, Asia and the Americas. 

You would work closely with and be in regular daily contact with the business in multiple locations across DB’s custody network. The proposed role is based in Berlin. However, you will work closely with, and be in regular contact with both the business and legal department colleagues across Deutsche Bank's international network. The role will also offer the opportunity to work closely with other internal control functions.

The role is a mixture of contractual and advisory work.  You will play an active role in helping the business manage legal, regulatory and reputational risk.  You will also be a point of reference for bank-policy driven issues, including with regard to legal risk management, which might include contractual, regulatory, litigation and ESG legal risks.

Responsibilities

  • Providing legal support to DB’s Securities Services business and Global Network Management in various locations.

  • Drafting, review and negotiation of product documentation, including multi-market custody agreements and local sub-custody agreements.

  • Advising on regulation relevant to client assets.

  • Working on new products to be offered in Securities Services.

  • Reviewing and analysing legal opinions.

  • Assisting with regular review and update of template agreements (as required, in response to legal and regulatory developments and market practice, for example).

  • Instructing and managing external counsel where required, managing legal spend and budget.

  • Assisting client services and network management teams with legal, regulatory and documentation queries on a day-to-day basis.

  • Working in collaboration with other internal control functions such as Compliance, Non-Financial Risk Management, Operations and Credit Risk Management.

  • Keeping abreast of relevant regulatory changes affecting custody and clearing in various jurisdictions, assisting with impact assessment and implementation programs.

Experience Required/Essential Skills

The successful candidate will be a qualified lawyer and have relevant professional experience. General banking experience and/or specific custody experience acquired either at a law firm or financial institution in this field would be an advantage, and knowledge of English and/or common law contract law essential.
